利用規約

この利用規約（以下「本規約」といいます。）は、株式会社 木屋（以下「当店」といいます。）が運営するオンラインストア（以下「本ストア」といいます。）の利用条件を定めるものです。本ストアをご利用になるすべてのお客様は、本規約に同意のうえご利用いただくものとします。

第1条（適用）
1. 本規約は、本ストアの閲覧、会員登録、商品の注文、購入その他本ストアの利用に関する一切の行為に適用されます。
2. 当店が本ストア上に掲載するご利用案内、配送ポリシー、返金ポリシー、プライバシーポリシー、特定商取引法に基づく表記その他の定めは、本規約の一部を構成するものとします。
3. 本規約の内容と、前項の個別規定の内容が異なる場合は、個別規定が優先して適用されます。

第2条（本規約の変更）
1. 当店は、法令に従い、本規約を変更できるものとします。
2. 当店は、本規約を変更する場合、変更後の内容およびその効力発生日を、本ストア上への掲載その他相当な方法により周知するものとします。
3. 変更後の本規約は、前項の効力発生日から効力を生じるものとします。

第3条（本ストアの利用）
1. お客様は、法令、本規約および当店が別途定める条件に従い、本ストアを利用するものとします。
2. 未成年者がお申し込みをされる場合は、法定代理人の同意を得たうえでご利用ください。
3. お客様は、自己の責任において、本ストアの利用に必要な通信機器、通信回線その他の利用環境を整備するものとします。

第4条（商品情報）
1. 当店は、本ストアに掲載する商品情報、価格、仕様、在庫状況その他の表示について、できる限り正確な情報の掲載に努めます。
2. ただし、表示内容には誤記、誤表示、掲載遅延その他の不一致が生じる場合があります。
3. 商品写真は、できる限り実物に近い色味、形状を表現するよう努めておりますが、お客様の閲覧環境、撮影条件、素材の特性等により、実際の商品と見え方が異なる場合があります。

第5条（注文および売買契約の成立）
1. お客様は、本ストア所定の方法により商品を注文するものとします。
2. ご注文後に当店から自動送信される注文確認メールは、ご注文内容の受領確認であり、当店による承諾を意味するものではありません。
3. 当店は、ご注文内容、在庫状況、お支払い状況、配送条件その他の事情を確認のうえ、受注の可否を判断します。
4. 売買契約は、当店がお客様のご注文を承諾し、商品の発送手続を行った時点で成立するものとします。
5. 当店は、同一商品の大量注文、短期間での複数回注文、同一または類似する送付先・名義・電話番号・メールアドレスによる反復注文、再販売、転売、仕入れ、購入代行、転送目的その他当店が通常の小売販売の範囲を超えると判断したご注文について、ご注文内容の確認、数量調整、受注保留またはご注文の取消を行う場合があります。
6. 当店は、特定商取引法に基づく表記に定める場合のほか、当店がご注文の受付または継続が適当でないと合理的に判断した場合、ご注文をお断りし、または取り消すことができるものとします。

第6条（会員登録およびアカウント管理）
1. 本ストアに会員登録機能がある場合、お客様は真実、正確かつ最新の情報を登録するものとします。
2. お客様は、登録情報に変更が生じた場合、速やかにこれを更新するものとします。
3. お客様は、自己の責任において、アカウント情報およびパスワードを適切に管理するものとし、第三者に利用させ、貸与し、譲渡し、または共有してはなりません。
4. アカウントの管理不十分、使用上の過誤、第三者の使用等により生じた損害について、当店は当店に故意または重過失がある場合を除き責任を負いません。

第7条（支払方法および支払時期）
1. 商品代金のお支払い方法および支払時期は、本ストアの購入手続画面、特定商取引法に基づく表記その他当店が別途表示するところによります。
2. 銀行振込、コンビニ決済、Pay-easyその他前払いのお支払い方法については、各決済事業者または当店が別途ご案内する期限までにお支払いください。
3. 期限までにお支払いが確認できない場合、当店はご注文をキャンセルできるものとします。
4. 決済手数料、振込手数料その他お支払いに伴う費用が発生する場合は、お客様のご負担となります。

第8条（引渡し時期および配送）
1. 商品の引渡し時期は、特定商取引法に基づく表記または配送ポリシーに定めるところによります。
2. 配送先、配送方法、在庫状況、天候、交通事情その他やむを得ない事情により、発送または配達に遅れが生じる場合があります。
3. 海外配送に関して配送先国・地域で発生する関税、輸入消費税、通関手数料その他輸入に伴う費用は、お客様のご負担となります。
4. 配送先住所の不備、長期不在、受取拒否、関税等の不払い、通関不可その他お客様の事情により配送に支障が生じた場合、当店はその結果生じた費用をお客様に請求し、または返金額から控除できるものとします。

第9条（返品・交換・返金）
1. 返品、交換および返金に関する条件は、返金ポリシーおよび特定商取引法に基づく表記に定めるところによります。
2. お客様都合による返品・交換は、当店が別途認める場合を除き、未使用であり、かつ当店所定の条件を満たす場合に限り承ります。
3. 商品に欠陥、不具合、誤配送または配送中の破損があった場合は、当店所定の方法により対応します。

第10条（禁止事項）
お客様は、本ストアの利用にあたり、次の行為をしてはなりません。
1. 法令または公序良俗に違反する行為
2. 犯罪行為またはこれに関連する行為
3. 虚偽の情報を登録し、または提供する行為
4. 第三者になりすまして本ストアを利用する行為
5. クレジットカードその他決済手段を不正に使用する行為
6. 本ストアの運営を妨害し、または妨害するおそれのある行為
7. 本ストアのシステムに過度な負荷をかける行為
8. 再販売、転売、仕入れ、購入代行、転送その他当店が通常の小売販売の範囲を超えると判断する目的で本ストアを利用する行為
9. 商品の買い占めその他、他のお客様の購入機会を不当に妨げる行為
10. 当店、他のお客様または第三者の権利、利益、名誉、信用を害する行為
11. その他当店が不適切と判断する行為

第11条（知的財産権）
1. 本ストアに掲載される文章、画像、ロゴ、商標、デザイン、商品説明、構成その他一切のコンテンツに関する著作権、商標権その他の知的財産権は、当店または正当な権利者に帰属します。
2. お客様は、当店または権利者の許諾なく、これらを複製、転載、改変、配布、公衆送信その他の方法で利用してはなりません。

第12条（本ストアの停止・変更）
1. 当店は、次のいずれかに該当する場合、お客様に事前に通知することなく、本ストアの全部または一部の提供を停止し、または中断することができます。
（1）システムの保守点検または更新を行う場合
（2）火災、停電、天災地変、通信障害その他の不可抗力により本ストアの運営が困難となった場合
（3）その他、当店が本ストアの停止または中断が必要と判断した場合
2. 当店は、本ストアの内容を変更し、または本ストアの提供を終了することができます。

第13条（免責）
1. 当店は、本ストアに掲載する情報について、できる限り正確な表示に努めますが、その完全性、正確性、最新性、有用性その他一切の事項について保証するものではありません。
2. 刃物その他刃先を有する商品、木製品その他の自然素材を用いた商品は、その性質上、取扱方法、使用環境、保管方法、経年変化その他の事情により、けが、破損、変質、変形、ひび割れ、焦げ、燃焼その他の損害が生じるおそれがあります。お客様は、商品ごとの注意表示、使用方法、保管方法その他当店が別途案内する事項に従って使用するものとします。
3. お客様による誤使用、不適切な保管もしくは管理、通常用途外での使用、注意表示もしくは使用方法への違反、第三者への譲渡後の使用、第三者の故意もしくは過失による行為、または経年変化、自然素材の性質その他当店の合理的支配を超える事情に起因して生じた損害について、当店は責任を負いません。ただし、当該損害が当店の故意または過失による場合は、この限りではありません。
4. 当店が本ストアの利用または商品の販売に関してお客様に対して損害賠償責任を負う場合、その責任は、当店に故意または重過失がある場合または生命もしくは身体に生じた損害である場合を除き、お客様に現実に生じた通常かつ直接の損害の範囲内で、かつ、当該ご注文に関して当店がお客様から受領した商品代金相当額を上限とします。
5. 当店は、配送遅延、欠品、表示誤り、システム障害、決済事業者または配送事業者に起因する障害その他当店の合理的支配を超える事情によって生じた損害について、当店に故意または過失がある場合を除き、責任を負いません。

第14条（個人情報の取扱い）
当店によるお客様の個人情報の取扱いについては、当店プライバシーポリシーに定めるところによるものとし、お客様はこれに同意するものとします。

第15条（反社会的勢力の排除）
1. お客様は、自己または自己の関係者が反社会的勢力に該当せず、かつ将来にわたってもこれに該当しないことを表明し、保証するものとします。
2. お客様が前項に違反した場合、当店は何らの催告を要することなく、ご注文の取消し、会員登録の抹消その他必要な措置を講じることができます。

第16条（分離可能性）
本規約のいずれかの条項が法令等により無効と判断された場合であっても、本規約のその他の条項は引き続き有効に存続するものとします。

第17条（準拠法および管轄）
1. 本規約の解釈にあたっては、日本法を準拠法とします。
2. 本ストアの利用または本規約に関して紛争が生じた場合は、民事訴訟法その他法令により認められる裁判所を管轄裁判所とし、これに加えて東京簡易裁判所または東京地方裁判所を第一審の付加的合意管轄裁判所とします。

本ポリシーの日本語版と英語版の内容に相違がある場合には、日本語版を優先するものとします。

Terms of Use

These Terms of Use (hereinafter referred to as the “Terms”) set forth the conditions for use of the online store operated by Kiya Co., Ltd. (hereinafter referred to as “we,” “us,” or “our store”) (hereinafter referred to as the “Store”). All customers who use the Store shall do so upon agreeing to these Terms.

Article 1 (Scope of Application)
1. These Terms apply to all acts relating to use of the Store, including browsing, account registration, ordering, purchasing, and any other use of the Store.
2. Any usage guides, shipping policy, refund policy, privacy policy, Legal Notice under the Act on Specified Commercial Transactions, and any other rules posted on the Store shall constitute part of these Terms.
3. In the event of any inconsistency between these Terms and any individual provisions referred to in the preceding paragraph, such individual provisions shall prevail.

Article 2 (Changes to These Terms)
1. We may amend these Terms in accordance with applicable laws and regulations.
2. If we amend these Terms, we shall notify customers of the amended contents and the effective date of such amendment by posting them on the Store or by any other appropriate method.
3. The amended Terms shall become effective on the effective date specified in the preceding paragraph.

Article 3 (Use of the Store)
1. Customers shall use the Store in compliance with applicable laws and regulations, these Terms, and any other conditions separately specified by us.
2. If a minor places an order, such minor must obtain the consent of a legal representative before using the Store.
3. Customers shall, at their own responsibility, prepare the communication devices, internet connection, and any other environment necessary for use of the Store.

Article 4 (Product Information)
1. We endeavor to provide as accurate information as reasonably possible regarding product information, prices, specifications, stock status, and other information displayed on the Store.
2. However, displayed content may contain typographical errors, incorrect descriptions, delayed updates, or other discrepancies.
3. We endeavor to present product photographs in a manner as close as possible to the actual product in terms of color and shape; however, the appearance of products may differ from the actual item depending on the customer’s viewing environment, photography conditions, material characteristics, and other factors.

Article 5 (Orders and Formation of Sales Contracts)
1. Customers shall place orders in accordance with the procedures prescribed by the Store.
2. The order confirmation email automatically sent by us after an order is placed is merely an acknowledgment of receipt of the order details and does not constitute our acceptance of the order.
3. We shall determine whether to accept an order after confirming the order details, stock status, payment status, shipping conditions, and other relevant circumstances.
4. A sales contract shall be formed when we accept the customer’s order and commence shipment procedures for the relevant product.
5. We may confirm the details of an order, adjust quantities, place an order on hold, or cancel an order if we determine that the order constitutes a bulk purchase of the same product, multiple orders placed within a short period of time, repeated orders using the same or similar shipping address, name, telephone number, or email address, or is for resale, onward sale, procurement, purchasing agency, forwarding, or any other purpose that we determine exceeds the scope of ordinary retail sales.
6. In addition to the cases set forth in the Legal Notice under the Act on Specified Commercial Transactions, we may refuse or cancel an order if we reasonably determine that it is inappropriate to accept or continue the order.

Article 6 (Account Registration and Account Management)
1. If the Store provides an account registration function, customers shall register true, accurate, and up-to-date information.
2. Customers shall promptly update their registration information if any changes occur.
3. Customers shall properly manage their account credentials and passwords at their own responsibility, and shall not permit any third party to use them, lend them, transfer them, assign them, or share them.
4. We shall not be liable for any damage arising from insufficient account management, errors in use, or use by a third party, unless such damage is caused by our intentional misconduct or gross negligence.

Article 7 (Payment Methods and Timing of Payment)
1. Payment methods and the timing of payment for product prices shall be as specified on the Store’s checkout page, in the Legal Notice under the Act on Specified Commercial Transactions, or otherwise separately indicated by us.
2. For bank transfers, convenience store payments, Pay-easy, and other prepaid payment methods, payment must be made by the deadline separately specified by the relevant payment service provider or by us.
3. If payment is not confirmed by the applicable deadline, we may cancel the order.
4. Any payment processing fees, bank transfer fees, or other charges associated with payment shall be borne by the customer.

Article 8 (Delivery Timing and Shipping)
1. The delivery timing of products shall be as specified in the Legal Notice under the Act on Specified Commercial Transactions or the Shipping Policy.
2. Shipment or delivery may be delayed due to the shipping destination, shipping method, inventory status, weather, traffic conditions, or other unavoidable circumstances.
3. Customs duties, import taxes, customs clearance fees, and any other import-related charges arising in the destination country or region for international shipments shall be borne by the customer.
4. If shipping is hindered due to an incorrect delivery address, long-term absence, refusal of delivery, non-payment of customs or similar charges, customs clearance failure, or any other reason attributable to the customer, we may charge the customer for any resulting costs or deduct such costs from any refund amount.

Article 9 (Returns, Exchanges, and Refunds)
1. Conditions for returns, exchanges, and refunds shall be as set forth in the Refund Policy and the Legal Notice under the Act on Specified Commercial Transactions.
2. Returns or exchanges for the customer’s convenience shall be accepted only if separately approved by us and only when the item is unused and otherwise meets the conditions prescribed by us.
3. If a product has a defect, fault, incorrect shipment, or damage during delivery, we shall respond in accordance with our prescribed procedures.

Article 10 (Prohibited Conduct)
Customers shall not engage in any of the following when using the Store:
1. Any act that violates laws, regulations, or public order and morals
2. Any criminal act or any act related thereto
3. Providing or registering false information
4. Using the Store while impersonating another person
5. Improper use of a credit card or any other payment instrument
6. Any act that interferes with or may interfere with operation of the Store
7. Any act that imposes an excessive burden on the Store’s systems
8. Using the Store for resale, onward sale, procurement, purchasing agency, forwarding, or any other purpose that we determine exceeds the scope of ordinary retail sales
9. Hoarding products or otherwise unfairly hindering purchasing opportunities for other customers
10. Any act that harms the rights, interests, reputation, or credit of us, other customers, or any third party
11. Any other act that we deem inappropriate

Article 11 (Intellectual Property Rights)
1. All copyrights, trademark rights, and other intellectual property rights relating to all content displayed on the Store, including text, images, logos, trademarks, designs, product descriptions, and layout, belong to us or the rightful holders thereof.
2. Customers shall not reproduce, reprint, modify, distribute, publicly transmit, or otherwise use any such content without the permission of us or the relevant rights holder.

Article 12 (Suspension or Modification of the Store)
1. We may suspend or interrupt all or part of the Store without prior notice to customers if any of the following applies:
(1) when performing maintenance, inspection, or updating of systems;
(2) when operation of the Store becomes difficult due to fire, power outage, natural disaster, communication failure, or any other force majeure event; or
(3) when we otherwise determine that suspension or interruption of the Store is necessary.
2. We may change the contents of the Store or terminate provision of the Store.

Article 13 (Disclaimer)
1. We endeavor to provide accurate information on the Store; however, we do not guarantee the completeness, accuracy, currency, usefulness, or any other aspect of such information.
2. Knife products and other products with blades, as well as wooden products and other products made of natural materials, may cause injury, breakage, deterioration, deformation, cracking, scorching, burning, or other damage due to their nature, the manner in which they are handled, the environment in which they are used, storage methods, aging, or other circumstances. Customers shall use such products in accordance with the cautions, instructions for use, storage instructions, and any other guidance separately provided by us.
3. We shall not be liable for damage arising from misuse by the customer, improper storage or management, use outside the intended purpose, violation of cautions or instructions for use, use after transfer to a third party, acts of a third party committed intentionally or negligently, aging, characteristics of natural materials, or any other circumstances beyond our reasonable control; provided, however, that this shall not apply where such damage is caused by our intentional misconduct or negligence.
4. If we are liable to a customer for damages in connection with use of the Store or sale of products, such liability shall, except in cases of our intentional misconduct or gross negligence or where the damage involves injury to life or body, be limited to the scope of ordinary and direct damages actually incurred by the customer, and shall not exceed the amount of the product price actually received by us in relation to the relevant order.
5. We shall not be liable for damages arising from shipping delays, out-of-stock situations, display errors, system failures, failures attributable to payment service providers or shipping carriers, or any other circumstances beyond our reasonable control, unless such damages are caused by our intentional misconduct or negligence.

Article 14 (Handling of Personal Information)
Our handling of customers’ personal information shall be governed by our Privacy Policy, and customers shall be deemed to have agreed thereto.

Article 15 (Exclusion of Anti-Social Forces)
1. Customers represent and warrant that neither they nor any related party thereof currently constitutes, and will not in the future constitute, an anti-social force.
2. If a customer violates the preceding paragraph, we may, without prior notice, cancel the order, delete the customer’s account registration, or take any other necessary measures.

Article 16 (Severability)
If any provision of these Terms is held invalid under applicable laws or regulations, the remaining provisions shall continue in full force and effect.

Article 17 (Governing Law and Jurisdiction)
1. These Terms shall be governed by and construed in accordance with the laws of Japan.
2. In the event of any dispute arising in connection with use of the Store or these Terms, the courts having jurisdiction under the Code of Civil Procedure and other applicable laws shall have jurisdiction, and in addition, the Tokyo Summary Court or the Tokyo District Court shall be the court of first instance with additional agreed jurisdiction.

In the event of any inconsistency between the Japanese version and the English version of these Terms, the Japanese version shall prevail.
